These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Pedagion Inc. ("Pedagion," "we," "us," or "our"), governing your access to and use of the Pedagion platform, including the website at pedagion.ai, mobile applications, APIs, and all related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.
You must be at least 13 years of age to create an account and use the Service. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We do not knowingly collect personal information from children under 13. If we discover that a child under 13 has provided personal information, we will promptly delete such information.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You must immediately notify us at support@pedagion.ai if you suspect any unauthorized use of your account.
Each individual may maintain only one account. Creating multiple accounts to circumvent usage limits, earn additional rewards, or for any other purpose is prohibited and may result in immediate termination of all associated accounts.
Pedagion is an AI-powered adaptive learning platform that generates educational curricula, interactive content, quizzes, flashcards, and study materials using artificial intelligence technology. The Service is designed as a supplementary educational tool and study aid.
New users may be offered a free trial period. At the end of the trial, your access will be restricted unless you subscribe to a paid plan. We reserve the right to modify or discontinue free trial offers at any time.
Paid subscriptions are billed on a recurring monthly basis at the rate displayed at the time of purchase. All fees are quoted and charged in United States Dollars (USD) unless otherwise stated. You authorize us to charge your designated payment method on each billing cycle. Prices are subject to change with 30 days' advance notice.
Subscription fees are generally non-refundable except where required by applicable law (including but not limited to the European Union's Consumer Rights Directive, Australian Consumer Law, or other mandatory consumer protection statutes in your jurisdiction). If you believe you are entitled to a refund under applicable law, please contact support@pedagion.ai within 14 days of the relevant charge.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of the period for which you have already paid.
Users may earn experience points ("XP") by completing educational activities within the Service, including completing chapters and passing quizzes. XP is a promotional incentive, not a currency, and has no independent cash value outside of the Service.
XP may be converted to billing credits at the rate of 1,000 XP = $0.10 USD, subject to a monthly cap of 25% of your plan's subscription fee. Credits are applied automatically to your next billing cycle and cannot be transferred, sold, exchanged for cash, or carried over beyond one billing cycle.
We reserve the right to modify, suspend, or discontinue the XP Rewards Program, including but not limited to changing earning rates, conversion rates, monthly caps, or eliminating the program entirely, at any time with 30 days' advance notice. Any accrued but unused XP credits at the time of modification will be honored for one subsequent billing cycle.
Any attempt to manipulate, exploit, or artificially inflate XP earnings through automated means, multiple accounts, or any other fraudulent activity will result in forfeiture of all accrued XP and may result in account termination.

We reserve the right to refuse service, restrict access, or terminate accounts for violations of this policy, at our sole discretion and without prior notice.
All rights, title, and interest in and to the Service, including its software, design, trademarks, logos, and documentation, are and shall remain the exclusive property of Pedagion Inc. These Terms do not grant you any right to use Pedagion's trademarks, trade names, or logos without prior written consent.
You retain ownership of any original content you upload to the Service (e.g., PDFs, documents). By uploading content, you grant Pedagion a limited, non-exclusive, worldwide license to process, analyze, and use such content solely for the purpose of providing the Service to you. This license terminates when you delete your account or remove the content.
Content generated by the Service's AI systems (curricula, quizzes, explanations, flashcards, etc.) is provided for your personal educational use. You may use AI-generated content for personal study and learning purposes. You may not claim AI-generated content as your own original academic or professional work. You acknowledge that AI-generated content may be similar to content generated for other users and is not guaranteed to be unique.
Without limiting the foregoing, Pedagion does not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) AI-generated content will be accurate, complete, current, or suitable for any particular purpose; (c) any errors in the Service will be corrected; or (d) the Service will meet your specific requirements or expectations.
Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions shall apply to the fullest extent permitted by applicable law.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PEDAGION INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PEDAGION'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO PEDAGION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).
NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (C) ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE MANDATORY LAW.
You agree to indemnify, defend, and hold harmless Pedagion Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you upload to the Service.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to: violation of these Terms, fraudulent or abusive activity, non-payment of fees, or as required by law. Upon termination, your right to use the Service ceases immediately. Sections 7 through 10 and 13 through 16 shall survive any termination of these Terms.
Before initiating any formal dispute resolution proceeding, you agree to first contact us at support@pedagion.ai and attempt to resolve the dispute informally for at least 30 days.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles. For users in the European Union, this choice of law does not deprive you of the protection of mandatory consumer protection provisions of your country of residence.
Any disputes arising under these Terms that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of the Province of Ontario, Canada, except where prohibited by applicable law. Users in the European Union retain the right to bring proceedings in their country of residence.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to your registered address or through a prominent notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must discontinue use of the Service.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
Entire Agreement: These Terms, together with the Privacy Policy and any supplemental terms, constitute the entire agreement between you and Pedagion regarding the Service and supersede all prior agreements.
Waiver: Our failure to enforce any provision of these Terms shall not be construed as a waiver of that provision or the right to enforce it at a later time.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Force Majeure: Pedagion shall not be liable for any failure or delay in performing its obligations where such failure or delay arises from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, acts of government, war, terrorism, internet disruptions, or third-party service failures.
